C. Randall Loewen is a seasoned attorney with more than 40 years of experience in oil and gas, corporate, and real estate law, representing major energy companies and active independents across the United States. His practice spans onshore and offshore matters, including title and division order opinions, multi-million-dollar property transactions, and a wide range of agreements critical to mineral development. With extensive work in key basins such as the Permian, Haynesville Shale, and Eagle Ford, he is also well-versed in regulatory matters before agencies like the Louisiana Office of Conservation, the State Mineral Board, and FERC.

He is admitted in Louisiana.

C. Randall Loewen has practiced law for over 40 years, concentrating in the areas of oil and gas, corporate and real estate law. In the oil and gas industry, his experience includes both onshore and offshore work for title opinions, division order opinions, drilling & production operations, the sale of producing properties and operational issues across the continental United States. His major clients have included ConocoPhillips, Devon Energy, EnerVest, Range Resources, Newfield, ARCO, Enbridge Pipeline, Stephens Production, KCS Resources, SWEPI (Shell), Paloma and other active independents.

He also has experience in numerous oil and gas basins, including the Permian, Midland, Haynesville Shale, Tuscaloosa Marine Shale, Austin Chalk, Eagle Ford and others. His primary representation has been for: (1) Title examination and opinions (most recently for the LA Haynesville Shale, Tuscaloosa Marine and Austin Chalk), (2) The sale and acquisition of multi-million dollar oil and gas properties (wells and pipelines), including due diligence reviews and preparation of related documents; (3) preparation of leases, farmouts, joint venture agreements, operating agreements, processing agreements, gas contracts, drilling contracts, and other agreements for development of minerals and (4) Practice before regulatory agencies such as the Louisiana Office of Conservation, State Mineral Board and the FERC, for unitization and other regulatory matters.

Preparation of over 1000 title opinions for drilling both vertical and horizontal wells across all portions of Louisiana, including numerous plays in South Louisiana and the Haynesville Shale in North Louisiana. The most opinions were prepared for ConocoPhillips, Devon and Goodrich (now Paloma) covering thousands of acres for drilling in the Austin Chalk and Tuscaloosa Marine Shale formations. Our emphasis is to detail curative work that is important in clearing actual title concerns, without the inclusion of boilerplate requirements that are not helpful. 

We routinely prepare Division Order Title Opinions (DOTO) and Divisions of Interests (DOI) for the payment of each owner in the well(s), including Net Revenue Interests, Royalties, Overriding Royalties, unleased mineral interests and all other types of revenue interests, along with any Requirements that should be cured or satisfied before payment. Our DOI are user friendly for Land and Accounting Departments by showing all interests on an Excel spreadsheet, with a suggested Pay or Suspend status and a link to any Requirements to be cured.

We have worked with operations to prepare oil and gas lease forms and other agreements for exploration of oil and gas, and the sale of production. Our lease forms include provisions to protect the operator from any unexpected Legacy Liabilities and other issues in Louisiana mineral operations.

Our practice includes the establishment of all types of units for development of large horizontal plays or one well vertical prospects, including both forced or compulsory unitization established by regulatory orders unique to Louisiana and the establishment of voluntary or declared pooling agreements. 

Although our focus is to keep our clients out of court by identifying problems before drilling, we have experienced attorneys that can handle any complex litigation issues or disputes that may unavoidably arise. Our experience covers both onshore or offshore properties. 

Mr. Loewen has successfully conducted due diligence (and managed teams) for the acquisition and divestiture (A&D) of various properties across numerous basins in the United States, most recently in the Permian or Midland Basins in Texas.

After 130 years of practicing law in the State of Louisiana, the law firm of Milling Benson Woodware, L.L.P. has closed its practice of law and will cease providing professional services, effective as of 5 PM, February 18, 2026. If you have not already been contacted by your attorney for the continued handling of your files, you may contact our office before March 27, 2026, and we will attempt to put you in touch with the attorney that previously handled your file. Some of the attorneys previously with the firm will continue to practice elsewhere, and you should reach out to them or your new attorney as soon as possible.

File Retrieval by March 27, 2026

If you believe that we have any of your client files still in our possession they will be available for transfer to you or your attorney on or before March 27, 2026. If you want us to see if a file is available for transfer to you or your attorney, please reply to this email and provide written authorization to make the transfer, including the name and address (or other contact information) of your lawyer. If you prefer to personally take possession of your files, you may pick up your file at our office located at 68031 Capital Trace Row, Mandeville, LA 70471, on or before March 27, 2026.

After March 27, 2026, we will promptly proceed with arranging for the destruction of any files (other than Last Wills) not transferred to an attorney or picked up by you (or our representative) from our office. The files not transferred will be destroyed by shredding to protect all confidential information. Since the firm is going out of business, we will have no office location available to further store client files.

The Last Wills and Testaments in our possession will be transferred to Kayla Martynenko, Attorney in Mandeville, LA, who can be reached by email at kayla@legacylitigator.com. Ms. Martynenko will be attempting to reach out to those who signed Last Wills for which she takes possession. Let her know if you want another attorney to take possession of your Last Will or if you want to pick up the Last Will from her office.
